1. Agreement
These Terms are between the Kaltiq entity identified in the order/account and the organisation or sole trader accepting them (“Business”). The accepting person represents that they have authority to bind the Business. These Terms incorporate the Acceptable & Fair Use Policy, Business Privacy Notice, Cookie Notice, Copyright Policy, applicable order forms and data-processing agreement. Mandatory law prevails over conflicting language.
2. Eligibility, verification and staff
The Business must be lawfully established or legally capable of trading, provide accurate information, maintain required licences and promptly update material changes. Kaltiq may verify identity, authority, beneficial ownership, sanctions status, licences, domain, payment source and risk. A verification badge confirms only specified checks and is not endorsement, solvency or product certification.
The owner controls invitations and roles and is responsible for staff, contractors, agents, devices and API/API-key use. Credentials cannot be shared. Departing personnel must be removed promptly. Kaltiq may require MFA, device re-verification or remote session revocation.
3. Platform licence and usage rights
Kaltiq grants a limited, revocable, non-exclusive, non-transferable right to use supported Business clients for internal commercial operations and lawful customer interactions. No right is granted to resell the platform, scrape directories, sublicense accounts, extract source/models/data, copy UI/assets, bypass access controls or DRM, reverse engineer beyond non-waivable law, or build a competing service from non-public interfaces.
4. Storefronts, catalogs and customer transactions
The Business is the seller and is solely responsible for its products/services, descriptions, prices, taxes, inventory, delivery, licences, warranties, refunds, recalls, customer service and consumer-law disclosures. Kaltiq supplies communication and closed-loop platform functionality and is not the merchant, manufacturer, guarantor, escrow, bank or party to the customer contract unless a checkout explicitly states otherwise.
Listings and claims must be accurate, substantiated and not deceptive. Sponsored content, endorsements, employee/affiliate reviews and material connections must be clearly disclosed. The Business may not suppress genuine reviews, fabricate engagement, create fake urgency, use dark patterns or list prohibited/regulated goods without written approval.
5. Chats, calls, broadcasts, location and recording
- Business communications must identify the sender and distinguish transactional service messages from marketing.
- Marketing, solicitation, automated/interactive messages and broadcasts require every consent, notice, do-not-call screening, suppression record and unsubscribe mechanism required in the recipient’s country. Kaltiq limits do not make an otherwise unlawful campaign lawful.
- Calls may use peer-to-peer or TURN relay. Kaltiq is not an emergency-calling or public telephone service.
- Precise location may be requested or shared only when necessary, transparent and permitted. It may never be used to stalk, discriminate unlawfully or monitor staff/customers covertly.
- Calls may be recorded only through an authorised feature, with a clear indicator and all-party or other consent required across relevant jurisdictions. The Business controls exported recordings and must secure/delete them lawfully.
- Do not promise end-to-end encryption unless the conversation UI expressly confirms it.
6. Business content and customer data
The Business retains rights it lawfully holds and grants Kaltiq and processors a worldwide, non-exclusive, royalty-free licence to host, cache, transmit, format, display, moderate and process content only to operate, secure, improve and legally administer the service. The licence ends after controlled deletion, subject to recipient copies, public content, backups, legal holds and required records.
The Business represents that it has all rights, lawful bases, consents and notices for uploaded content and customer data. It may use Kaltiq-derived data only for disclosed, lawful customer service or commerce—not resale, eligibility discrimination, hidden profiling or unrelated enrichment.
7. Standard, vanity, premium and 9-series numbers
All Business identifiers use the reserved 9-series. A standard, vanity or premium number is a revocable internal licence, not property, a public telephone number, legal identity, trademark right or promise of permanence. Kaltiq may quarantine, correct, rename, reclaim, reassign or disable identifiers for fraud, inactivity, conflict, impersonation, infringement, payment failure, technical migration, law or policy breach. Outside sale, brokerage or transfer is prohibited.
8. KalCoins, payments and external chains
KalCoins are closed-loop, revocable service credits usable only for eligible Kaltiq functions. They are not fiat, cryptocurrency, stablecoin, legal tender, deposit, security, investment, interest-bearing asset or claim on reserves and have no general cash value. The displayed conversion, fees, minimums and limits at confirmation govern a load or permitted redemption.
- Inside Kaltiq Business, prices and transfers are denominated only in KalCoins.
- Supported USDT blockchain rails may be used only to load or redeem under the displayed workflow. Blockchain transactions can be irreversible and public; network, wallet, wrong-address/chain and key-security risk belongs to the initiating party unless law says otherwise.
- Kaltiq never asks for a seed phrase or private key. WalletConnect signatures bind an external wallet after server challenge verification.
- Kaltiq may delay, reject, reverse an internal credit, freeze a balance or require evidence for duplicate credit, chargeback, sanctions, fraud, technical error, legal order or dispute. Immutable ledger corrections use compensating entries.
- Taxes, accounting and customer refunds remain the Business’s responsibility. Statutory remedies cannot be waived.
9. Fees, changes and availability
Current Business features may be free, but Kaltiq may introduce prospective plans or fees with required notice and acceptance. Beta features may change or lose data. Maintenance, law, security, geography or capacity may restrict functionality. Businesses must maintain exports and continuity plans appropriate to their risk.
10. Moderation, suspension, termination and appeal
Kaltiq may warn, remove/demote listings, restrict discovery or broadcasts, rate-limit, hold transactions, quarantine numbers, revoke verification, suspend staff or devices, suspend the profile, or terminate/delete for breach, risk, fraud, complaints, legal order, non-payment or service closure. Where applicable, Kaltiq will provide a durable statement of reasons and an internal complaint route. Covered EU business users ordinarily receive notice required by the P2B Regulation, including advance termination notice, unless an exception permits immediate action. Urgent safety, security, legal and repeat-violation action may be immediate.
Appeals go to appeals@kaltiq.com. Reinstatement follows without undue delay when a decision is reversed, subject to technical restoration and lawful retention. Ban evasion is a separate breach.
11. Warranties, liability and indemnity
To the maximum extent permitted by law, the service is provided “as is” and “as available.” Kaltiq does not warrant uninterrupted delivery, customer identity/conduct, sales, ranking, permanent identifiers, call quality, blockchain confirmation or preservation of every item. Kaltiq, affiliates, vendors, licensors, directors, employees and agents are not liable for indirect, consequential, exemplary or punitive losses, lost profit, reputation, opportunity or data. Aggregate liability will not exceed the greater of Business fees paid for the affected service in the preceding 12 months or USD 100.
Limits do not cover liability law prohibits limiting, including applicable fraud, wilful misconduct, gross negligence, death/personal injury, privacy or statutory rights. The Business will defend and indemnify Kaltiq and its personnel from third-party claims and reasonable costs arising from its products, content, customer data, staff, marketing, taxes, unlawful recording/location activity, contract breach or rights infringement, except to the extent caused by Kaltiq’s breach or conduct.
12. Confidentiality, compliance and records
Each party protects non-public information with reasonable care and uses it only for the relationship, subject to legal disclosure. The Business must comply with privacy, consumer, advertising, anti-spam, telecommunications, recording, sanctions, export, anti-bribery, product-safety, tax and sector law. It must keep substantiation, consent, suppression, fulfilment and refund records required for its activity.
13. Governing law, disputes and general terms
These Terms and disputes arising from them are governed by the laws of India, without applying conflict-of-law rules that would defeat this choice. The competent courts of India have jurisdiction. Nothing blocks regulator complaints, mandatory local protections or non-waivable remedies. Terms changes will be delivered on a durable medium with legally required notice; retroactive adverse changes are prohibited unless law or an urgent protective necessity permits them. Assignment, severability, waiver, force majeure and survival apply in the customary manner, subject to law.
